mDOS Terms of Service
Last updated: 14 October 2026
Version 2.1, effective 14 October 2026. This version applies to new customers from that date. For customers who joined before it, Section 15.6 sets out when it applies.
These Terms of Service (“Terms”) govern your use of the mDOS platform (“the Platform”) at app.mdos.ai, operated by Mr Digital Ltd (“we”, “us”, “our”).
Mr Digital Ltd is a limited company registered in England and Wales under company number 10485670. Registered address: 3 Warren Close, Brighton, BN2 6DT, United Kingdom.
By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
For the privacy policy governing the Platform, see mDOS Privacy Policy.
For the service agreement governing Mr Digital managed partnerships, see mr-digital.co.uk/service-agreement.
1. Definitions
“Platform” means the mDOS Master Digital Operating System & AI Growth Engine at app.mdos.ai, operated and owned by Mr Digital Ltd, and all associated tools, APIs, and services.
“Client” means the individual or organisation that holds a Platform account.
“Authorised User” means any individual granted access to the Platform by a Client.
“Client Data” means all content, data, files, and information uploaded, created, or stored on the Platform by the Client or their Authorised Users.
“AI Workforce” means the 19 specialised autonomous software agents operating within the Platform to execute multi-channel marketing campaigns under Client-selected guardrails.
“Managed Strategy & Agency Oversight” means the human strategic supervision, onboarding, guardrail auditing, and quality assurance provided by Mr Digital Ltd.
“Subscription” means the Client's active subscription to the Platform under one of the commercial tiers described in Section 6.1: Self-Service Cockpit, Coached, Managed Marketing, a Multi-Site Estate Licence, an Agency Reseller Master Licence, or a bespoke Enterprise Estate agreement.
“Managed Marketing Service” means the done-for-you agency service included in the Managed Marketing tier, under which Mr Digital Ltd's agency team, overseen by a dedicated Strategist, plans and delivers the marketing services listed in Schedule 1 on the Client's approved instructions, operates the AI Workforce on the Client's behalf, and delivers the Managed Deliverables described in Section 6.4, working towards growth goals agreed with the Client, as described in Schedule 1, Part F.
“Done-for-you Service” means an optional marketing service that may be added to a Self-Service Cockpit Subscription, as described in Section 6.13.
“Schedule 1” means the schedule to these Terms headed “Marketing services: Coached and Managed Marketing”.

“Managed Partnership” means a bespoke agency service offered by Mr Digital Ltd outside the published tiers, providing content management, strategy, and support services. A Managed Partnership is not a Platform subscription tier and is governed exclusively by a separate Service Agreement.
2. Account Registration
2.1. To use the Platform, you must create an account using your email address and a secure password. Passwords set through the Platform are hashed by our authentication provider using bcrypt at a work factor of 10 and are never stored in plain text. Passwords found in known breach databases are automatically rejected. You must provide accurate and complete information.
2.2. You are responsible for maintaining the security of your account and for all activity that occurs under it.
2.3. You must notify us immediately if you become aware of any unauthorised access to your account.
2.4. You must be at least 18 years old to create an account.
2.5. Business use only. The Platform is supplied for business use only. When you create an account you confirm that you are acting for the purposes of your trade, business, craft or profession, and not as a consumer. Because of this, consumer cancellation rights (including the 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013) do not apply. A sole trader or partnership that signs up for its business is a business customer for this purpose. You can still cancel as set out in Section 11.
2.6. Record of acceptance. We keep a record of the version of these Terms you accepted, when, and your business-use confirmation.
3. Platform Access and Use
3.1. Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes.
3.2. You may invite Authorised Users to access the Platform under your account. You are responsible for their compliance with these Terms and for managing their access permissions.
3.3. You agree not to:
- Use the Platform for any unlawful purpose
- Attempt to gain unauthorised access to the Platform or its systems
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform to store or distribute malware, spam, or illegal content
- Interfere with or disrupt the Platform's infrastructure
- Resell or sublicense access to the Platform without our written consent
- Use the Platform to collect personal data in violation of applicable data protection laws
- Upload content that infringes intellectual property rights of third parties
3.4. AI Features & Execution Guardrails. The Platform incorporates an autonomous 19-agent AI Workforce executing tasks across copywriting, SEO, email, paid media, and reporting.
- Model Privacy: All AI features process Client Data strictly under Enterprise API terms. Client Data is never used to train public foundation AI models.
- Execution Control: Clients control campaign publishing via three selectable modes: (a) Manual (human creation only); (b) Semi-Autonomous / Approval-Required (AI drafts campaigns for 1-click human authorisation); and (c) Autopilot (AI executes pre-approved flows continuously).
- Third-Party Advertising Spend: Subscriptions cover platform software, AI Workforce execution, and, on tiers that include it, human strategy support and marketing services. Advertising budgets (Google Ads, including YouTube, Meta Ads and LinkedIn Ads) are paid directly by the Client to the respective ad networks, unless agreed otherwise in writing (see Section 4.8). Mr Digital Ltd collects zero markup on client ad spend.
AI features may produce inaccurate or incomplete outputs — you are responsible for reviewing and approving all AI-generated content before publication in Manual or Approval-Required mode, and can be disabled per account via module settings.
4. Data Ownership
4.1. You Own Your Data. All Client Data uploaded, created, or stored on the Platform belongs to you. We do not claim any ownership rights over your content, brand assets, media, contact data, form submissions, or any other Client Data.
4.2. Your domain names remain registered in your name at your chosen registrar. We never ask for or require access to your domain registrar credentials.
4.3. Licence to Operate. By uploading Client Data to the Platform, you grant us a limited licence to store, process, display, and transmit that data solely for the purpose of providing the Platform service. This licence terminates when your account is cancelled and your data is deleted.
4.4. Data Export. You may export all your Client Data at any time using the Data Export tool in Settings. Exports include: pages, blog posts, promotions, events, resources, media files (with metadata), contacts, form submissions, SEO settings, redirects, brand guidelines, email templates, and activity logs. Exports are provided in portable formats (JSON for structured content, CSV for tabular data, original files for media).
4.5. No Lock-In. We will never restrict your ability to export or migrate your data. If you choose to leave the Platform, we will provide a full data export and reasonable assistance with your transition.
4.6. You decide. You stay in control of your marketing and your data. The AI Workforce and our team recommend and prepare work, and you decide. Nothing is sent, published or launched without your approval in the Platform, or under Autopilot rules that you have switched on yourself (Section 3.4).
4.7. Controller and processor. For personal data in your account, including the contacts you supply for email, SMS and outreach, you are the controller and Mr Digital Ltd is your processor. We act only on your documented instructions, which include the approvals and Autopilot rules you set in the Platform, under our Data Processing Agreement. This applies whether your own team does the work or our team does it for you on the Coached or Managed Marketing tiers or under a Done-for-you Service.
4.8. Ad accounts. Unless agreed otherwise in writing, your advertising accounts are owned by you and billed to you, and you give us agency access to manage them. If you leave, you keep the accounts and everything in them, including their history, pixels and audiences, and we remove our access. Where we agree in writing to run campaigns in Mr Digital Ltd's own advertising accounts, the ad spend is recharged to you on the terms of that agreement, and those accounts and their history remain ours unless that agreement says otherwise.
4.9. Work we create for you. When you have paid for them, you own the deliverables we create for you, such as designs, copy, blog posts, emails, ads, landing pages and website content. We keep ownership of our templates, methods, know-how and the Platform (Section 5); where one of our templates forms part of a deliverable, you may use it as part of that deliverable. Stock images, fonts, music and other third-party material are licensed on their owners' terms. Some deliverables are made with the help of AI; for those, we do not promise that they are exclusive to you or that they qualify for copyright protection (Section 19).
5. Our Intellectual Property
5.1. The Platform itself — including its source code, design, user interface, documentation, and proprietary technology — is owned by Mr Digital Ltd and protected by intellectual property laws.
5.2. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Platform as described in Section 3.
5.3. “mDOS” and “Mr Digital” are trademarks of Mr Digital Ltd.
6. Subscriptions and Payment
6.1. The Platform and AI Workforce are available under the following commercial tiers:
- Self-Service Cockpit — £500 + VAT / month on a 12-month term; or £550 + VAT / month on a 6-month term — one-off setup fee of £500 + VAT. Full access to the mDOS platform and AI workforce, run and executed entirely by your own team.
- Coached — £1,500 + VAT / month on a 12-month term; or £1,750 + VAT / month on a 6-month term — no setup fee (Or grant-funded for eligible pilot partners, subject to grant approval). The platform plus regular expert guidance: we guide your strategy and co-pilot execution, and your team executes.
- Managed Marketing — £2,500 + VAT / month on a 12-month term; or £3,000 + VAT / month on a 6-month term — no setup fee. Fully outsourced marketing. You set the growth goals; Mr Digital's agency team, running since 2017, leads the strategy, creates the content, runs the AI workforce and delivers the execution end to end.
- Self-Service Cockpit on a rolling monthly basis — £595 + VAT / month, with no fixed term.
- Free Plan and Trial — no charge, as described in Section 6.9.
- Multi-Site — the first site at its plan price, plus each additional site priced in its band (Sites 2–5: £400 a month each · Sites 6–50: £350 each · Sites 51+: £250 each) + VAT. There is no separate multi-site base price. Multi-site agreements have a minimum term of 12 months; setup £500 + VAT for the first venue and £150 + VAT per additional venue.
- Agency Reseller Master Licence — £995 + VAT / month including 3 client seats, plus £250 + VAT / month per additional client seat.
- Enterprise Estates — for 100+ venues; custom volume agreements, phased migration schedules, and bespoke SLA terms.
Prices in US dollars are set separately for each item, not converted from sterling, and are published at mdos.ai/pricing; US prices exclude applicable sales tax.
Current pricing is published at mdos.ai/pricing. Platform fees are separate from, and in addition to, Stripe payment-processing fees (currently 1.5% per transaction, negotiable for Enterprise).
6.2. Self-Service Cockpit Subscriptions bought online are paid in advance: monthly for a rolling monthly Subscription, and upfront for the whole term for a 6-month or 12-month Subscription. Other Subscriptions are billed monthly for the length of the commitment term selected under Section 6.1. Setup fees are invoiced once at the start of the term. All fees are exclusive of VAT (or, in the US, applicable sales tax) unless stated otherwise.
6.3. We may change our fees with at least 30 days' written notice. If you do not accept the new fees, you may cancel your Subscription before the new fees take effect.
6.4. The Self-Service Cockpit tier provides the Platform and AI Workforce for the Client's own team to run and execute. The Coached tier adds a senior strategist, weekly one-to-one coaching, and coaching on the Platform and the AI Workforce, across the channels listed in Schedule 1, Part B; the Client's team does the work. The Managed Marketing tier includes everything in the Self-Service Cockpit tier together with the Managed Marketing Service; it does not include the Coached tier's weekly coaching. The Managed Marketing Service comprises the following deliverables (the “Managed Deliverables”): (a) strategy: a marketing strategy and campaign plan, prepared and kept under review by a dedicated Strategist; (b) execution: the marketing services listed in Schedule 1, Part A, created and run for the Client by Mr Digital Ltd's agency team and the AI Workforce; (c) approvals: deliverables presented to the Client for approval in the Platform dashboard, each approved or declined in a single action, as described in Schedule 1, Part E; (d) reporting: automated performance reporting, available in the Platform at all times; and (e) a monthly video breakdown: a recorded video review of the month's results, delivered each calendar month. Live meetings are arranged at the Strategist's reasonable discretion where they are necessary or materially more effective than written or recorded communication. Apart from the kick-off call described in Schedule 2, no minimum number or frequency of live meetings is included on the Managed Marketing tier or with a Done-for-you Service. A guaranteed meeting schedule, direct telephone access and a named account director are available with Priority Support (Section 9.5). The Client remains responsible for the accuracy of the business information it provides. Schedule 1 sets out what the Coached and Managed Marketing tiers include and what they do not include; anything not listed in Schedule 1 as included is not included. A Managed Partnership agreed outside these tiers is governed by a separate Service Agreement; Clients on a Managed Partnership hold a separate Platform Subscription under one of the tiers described in Section 6.1.
6.5. There are no per-update charges. Your Subscription includes unlimited content updates, page edits and Platform usage made by your own team in the Platform, within your plan's scope and the service allocations in Section 8. Website pages that our team builds or updates for you are covered by the fair-use allowance in Section 8.6.
6.6. Payment Processing. The Platform uses Stripe Connect to process payments on behalf of your business. By enabling payment features: you must maintain a valid Stripe account connected to the Platform; payments from your customers are deposited directly into your Stripe account; a platform fee (currently 1.5% per transaction, negotiable for Enterprise) is automatically deducted; you are responsible for your Stripe account's compliance with Stripe's terms of service; we may disconnect your Stripe account if flagged by Stripe for fraud or policy violations; card data is processed entirely by Stripe — mDOS servers never see, store, or transmit card numbers.
6.7. Promotional rates and promo codes. Promo codes and promotional or campaign rates are offered at our discretion. Unless the offer says otherwise: a promo code is personal to the business it was issued to and is not transferable; one promo code can be used per customer; an offer may be limited to its first customers or to a stated number of uses, and ends on its stated expiry date; and it has no cash value. A promotional or discounted rate never adds to the inclusions of a tier, which are those set out in this Section 6.
6.8. Promotional rates end if you cancel. Promotional rates apply only while your Subscription stays active. If you cancel, the discount ends and can't be reinstated. This applies to promo codes, campaign discounts and any legacy or grandfathered price. If you return later, you pay the standard list price at that time, unless we agree otherwise in writing at our discretion.
6.9. Free Plan and Trial. A new self-serve account starts with a free Trial of the Self-Service Cockpit tier for the period shown at sign-up (currently 7 days), with no card needed. During the Trial some features need a card first (for example, sending text messages) and some are not included (for example, cold outreach and paid SEO data). When the Trial ends without a paid plan, the account moves automatically to the Free Plan. Nothing is deleted: features outside the Free Plan become read-only, so you can still view and export what is there. The Free Plan has usage limits shown in the Platform (currently one site, 1,000 contacts, 2,000 marketing emails a month, two team members, 1 GB of storage and a small monthly AI allowance, with no text messages), and on the Free Plan your website, booking widget and shared reports show “Powered by mDOS”. We may change the Free Plan's features or limits, or withdraw it, on at least 30 days' notice. Reaching a limit never deletes data; a limit never stops your own customers from booking with you.
6.10. Set-up fee offer. The one-off set-up fee for the Self-Service Cockpit tier is waived for Subscriptions bought online until 31 December 2026 (23:59 UK time). After that date the published set-up fee applies.
6.11. Feature trials. We may let you try a feature outside your plan for a limited time. A feature trial ends automatically on its end date, and the feature then returns to what your plan includes. If the feature is not in your plan, it pauses: the data you created is kept and stays read-only until you add the feature. A feature trial carries no obligation to buy.
6.12. Renewal, reminders and failed payments. A rolling monthly Subscription renews each month. A 6-month or 12-month Subscription renews for the same term unless you cancel before the renewal date; we send a reminder before it renews. If a payment fails, you keep your paid plan for 7 days while you update your card; after that the account moves to the Free Plan (or, for Subscriptions not bought online, we contact you). Nothing is deleted.
6.13. Done-for-you Services. Where we offer them, you may add Done-for-you Services to a Self-Service Cockpit Subscription. Each one is described, with its price, where you buy it. Schedule 1, Parts C to G apply to it as they apply to the Managed Marketing tier. A Done-for-you Service is charged with your Subscription. If you remove it, it ends at the end of the period you have paid for and is not refunded.
7. Service Levels
7.1. We target 99.9% Platform uptime, measured monthly, excluding scheduled maintenance.
7.2. Scheduled maintenance will be communicated at least 48 hours in advance where possible and will be performed during off-peak hours.
7.3. Enterprise Clients may negotiate a formal Service Level Agreement (SLA) with defined uptime commitments and remedies.
7.4. We are not responsible for downtime caused by: your internet connection, your DNS configuration, your third-party integrations, force majeure events, or actions by your Authorised Users.
7.5. Exclusions. The uptime target in this Section 7, the response targets in Section 9 and any service credits agreed with you exclude: scheduled maintenance; force majeure; and any outage, change or restriction of a Third-Party Service, including a change to its API or a change to, expiry of or withdrawal of its permissions or access (see Section 18).
7.6. Meetings. These service levels and the response targets in Section 9 cover Platform availability and written support. They include no minimum number or frequency of live meetings, other than the weekly coaching included in the Coached tier, the kick-off call for the Coached and Managed Marketing tiers and Done-for-you Services described in Schedule 2, and the meeting schedule provided under Priority Support. On the Managed Marketing tier, live meetings are arranged as described in Section 6.4.
7.7. Service levels for support and marketing services. Schedule 2 sets out the service levels we work to for support replies, urgent Platform issues, starting work and turnaround on website work.
8. Service Allocations, Usage Guardrails, and Top-Up Modules
8.1. Standard Operating Allocation: Every active mDOS workspace includes a standard monthly allocation of platform compute and integrated third-party data services (including search engine indexing, contact enrichment, and AI processing). Standard allocations reset automatically on the first day of each billing cycle and are non-transferable between cycles.
8.2. Fair Usage Assurance: Allocations are calibrated to comfortably support standard multi-site or SME commercial operations. Unused allocations do not rollover to subsequent billing months.
8.3. Excess Volume: Usage exceeding the standard monthly allocation will not result in unexpected invoice surcharges or immediate service disruption. Where the Platform shows a limit message (for example on the Free Plan), it tells you the limit and how much you have used; otherwise our team will contact you if your account is approaching an allocation. When a monthly AI allowance is used up, AI features pause until the next month or until you add capacity.
8.4. Provisioning Additional Capacity: Account Holders may expand operational capacity at any time by requesting a Top-Up Module from our team (or, where the Platform offers it, by upgrading in account settings). Top-Up Modules are billed on a recurring monthly schedule aligned with the primary subscription billing date.
The current standard allocations and Top-Up Module schedule are published at mdos.ai/pricing#fair-use.
8.6. Website pages built or updated for you. Where our team builds or updates website pages for you, on the Managed Marketing tier or under a Done-for-you Service that includes website work, fair use covers up to 20 pages per month, per site. A page counts towards this allowance when we build a new page, landing page or funnel page, or make a substantial update to an existing page. Small edits, such as changes to text, prices, images, opening times or menus, are covered by fair use and do not count towards the allowance. Unused pages do not roll over to the next month. We may choose to build or update more pages in a month without charging you; doing so does not change the allowance or create an obligation to do so again. Larger projects, such as a full new website or a redesign, are agreed and quoted separately.
8.7. Text message (SMS) send costs. Text message (SMS) send costs are not included in any plan, allocation or Done-for-you Service. We recharge them at cost each month on your mDOS invoice, as billed by our SMS provider for the messages sent from your account.
9. Support
9.1. Self-Service Cockpit, Coached and Multi-Site Estate Licence Clients: The Knowledge Base and Help Centre, plus email and chat support during UK business hours (9am–5:30pm Monday–Friday). Support replies are provided as set out in Schedule 2: usually within an hour for messages received before 1pm UK time, and always within 1 business day. Coached Clients also receive the weekly strategy coaching described in Section 6.4.
9.2. Managed Marketing and Managed Partnership Clients: Managed Marketing Clients receive dedicated Strategist oversight, delivered through the Platform (in-dashboard messages, approvals and the monthly video breakdown described in Section 6.4), with live meetings arranged as described in Section 6.4. Managed Partnership Clients receive a dedicated Account Director as set out in their Service Agreement. Both also receive the support described in Section 9.1, with support replies provided as set out in Schedule 2: usually within an hour for messages received before 1pm UK time, and always within 1 business day.
9.3. Enterprise Clients: Enterprise Clients receive the support and response times set out in their Enterprise agreement and service level agreement, which we tailor to the size and needs of their estate.
9.4. All support is provided in English.
9.5. Priority Support (optional add-on). Priority Support may be added to any tier, per company, for £250 + VAT a month (or US$250 a month plus applicable sales tax for US-dollar billing), with no long-term commitment. It includes: live meetings on a guaranteed schedule; direct phone access; a named account director; front-of-queue chat; and faster support replies. With Priority Support, from 9am India time until 5:30pm UK time, Monday to Friday, we reply within 2 hours, counting only time within that window. On Saturdays and Sundays, Priority Support clients get a reply within 24 hours. Urgent issues reach your named account director directly. The meeting schedule is agreed with you and held within UK business hours. Priority Support does not change the scope of the Managed Deliverables. Its response times remain subject to Section 7.5.
9.6. Our access to your account. When our team accesses your account to support you, the access is logged, and your company administrators receive an email on any day the mDOS team accessed the account.
9.7. The support described in this Section 9 is provided within the business days and hours, and to the service levels, set out in Schedule 2.
10. Site Transfers and Business Changes
10.1. Company Transfer: If your business changes ownership, we will transfer Platform ownership to the new owner upon receiving written confirmation from both parties. All data, brands, sites, and history transfer to the new owner. The previous owner's access is revoked immediately upon transfer.
10.2. Brand Transfer: Individual brands (and all sites within them) can be detached from your company and transferred to another Platform account. Brand-level content, settings, and site data transfer with the brand.
10.3. Site Transfer: Individual sites can be transferred to a different brand or company within the Platform. Site-specific content transfers; brand-level and company-level content does not.
10.4. All transfers are logged in the audit trail and are reversible within 30 days.
10.5. There is no fee for ownership transfers.
10.6. Domain transfers are handled at registrar level between the parties involved. We will provide DNS documentation to facilitate the transfer.
11. Cancellation and Offboarding
11.1. You may cancel your Subscription by notifying us in writing or through the Platform dashboard. A rolling monthly Subscription can be cancelled at any time and runs to the end of the period you have paid for; we do not refund part months. A 6-month or 12-month term is non-refundable once it has started: cancelling stops it renewing, and you keep access until the end of the term. For other tiers, cancellation takes effect at the end of any minimum commitment term that applies under Section 6.1, and fees for the remainder of that term remain payable. If you cancel, any promotional rate ends as set out in Section 6.8.
11.2. Upon cancellation:
- Days 1–30 (Grace Period): Your account remains active. Your sites remain live. You can access the dashboard, run data exports, and manage your content. You may reactivate at any time during this period.
- Days 31–90 (Archive Period): Your sites go offline. Data is archived but not deleted. You can still request a data export by contacting support. Reactivation is possible but may require setup time.
- After Day 90 (Permanent Deletion): All data is permanently and irreversibly deleted. This is not recoverable.
11.3. We will send email reminders at:
- Cancellation confirmation
- Day 14 (reminder of grace period ending)
- Day 28 (final reminder before sites go offline)
- Day 60 (reminder of permanent deletion approaching)
- Day 85 (final reminder before permanent deletion)
11.4. On the Managed Marketing tier, the Managed Marketing Service and the Platform Subscription form one Subscription and share one commitment term under Section 11.1. If you are on a Managed Partnership, cancellation of the managed service does not automatically cancel your Platform Subscription. You may continue using the Platform on your existing subscription tier. Cancellation terms for the managed service are governed by the Service Agreement.
11.5. Upon request, we will provide:
- Full data export in portable formats
- Domain handover documentation (DNS records and configuration)
- 301 redirect mapping for SEO preservation
- A handover document outlining your site structure, URL map, and technical setup
11.6. Marketing services when they end. When your Coached or Managed Marketing Subscription, or a Done-for-you Service, ends: (a) ads we manage in your advertising accounts are paused on the end date, unless you tell us otherwise in writing before then; (b) scheduled posts and outreach sequences we have set up are stopped; and (c) work in progress is handed over to you as it stands on the end date. Campaigns run in Mr Digital Ltd's own advertising accounts under Section 4.8 end as set out in that written agreement.
12. Limitation of Liability
12.1. To the maximum extent permitted by law, our total aggregate liability for any claims arising from or relating to these Terms or the Platform shall not exceed the total fees paid by you in the 12 months preceding the claim.
12.2. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
12.3. We are not responsible for:
- The accuracy, legality, or appropriateness of Client Data
- Decisions you make based on data displayed in the Platform
- Actions or omissions of third-party services integrated with the Platform
- Data loss caused by your actions or your failure to maintain adequate backups
12.4. Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
12.5. Sections 18 (Third-Party Services) and 19 (AI-Generated Content) set out further limits that apply within the cap in Section 12.1.
13. Indemnification
13.1. You agree to indemnify and hold harmless Mr Digital Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Platform in violation of these Terms
- Client Data that infringes third-party rights
- Your violation of applicable laws or regulations
- Claims by your End Users relating to your websites
14. Acceptable Use
14.1. You must not use the Platform to create, store, or distribute:
- Content that is unlawful, defamatory, threatening, or harassing
- Content that infringes intellectual property rights
- Malware, phishing pages, or any form of malicious code
- Content that exploits or harms minors
- Spam or unsolicited bulk communications
- Content that violates applicable data protection laws
14.2. We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without notice depending on the severity of the violation.
14.3. WiFi Captive Portal. If you enable the WiFi portal module: you are the Data Controller for all customer data collected through the portal; you must display appropriate privacy information on the portal page; you must honour marketing consent choices — the Platform enforces opt-in/opt-out but you must not override customer preferences; you are responsible for configuring your WiFi access points to redirect to the portal; customer internet access is granted via your network hardware — the Platform does not control or guarantee internet connectivity.
14.4. Email marketing, SMS and outreach. You decide who you contact and why. For the personal data you use in email, SMS and outreach, you are the controller: you choose, and are responsible for, the lawful basis for each message, and we send only on your approved instructions (Section 4.7). In particular:
- (a) marketing email and SMS to individuals, including sole traders and some partnerships, needs the recipient's consent or must meet the soft opt-in conditions for existing customers;
- (b) email to people at companies and other corporate bodies may rely on legitimate interests where the message is relevant to the recipient's role, you are clearly identified as the sender, opting out is easy, and every objection is honoured;
- (c) you must not use purchased or rented lists of individuals; you may use a list of business contacts only if it was lawfully sourced and you have checked it before it is used;
- (d) the Platform identifies you as the sender, includes an unsubscribe link in every marketing email, and keeps a permanent suppression list so that a person who opts out is not contacted again; you must not remove, hide or get round these controls;
- (e) we may suspend your sending if your bounce rate exceeds 5% or your spam complaint rate exceeds 0.1%; and
- (f) transactional messages, such as order confirmations, receipts and password resets, are not marketing.
14.5. LinkedIn outreach. LinkedIn outreach is sent from your own LinkedIn account. You accept LinkedIn's terms of use for that account and the risk that LinkedIn limits, restricts or suspends your account because of outreach activity. Replies, follow-ups and leads from any email or outreach are handled by your team.
15. Modifications to the Platform and Terms
15.1. We may update the Platform with new features, improvements, and bug fixes at any time. Updates are deployed with zero downtime where possible.
15.2. We may modify these Terms with at least 30 days' written notice. Material changes will be communicated via email and/or the Platform dashboard.
15.3. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
15.4. If you do not accept the changes, you may cancel your Subscription before the changes take effect and receive a pro-rata refund for any unused portion of prepaid fees.
15.5. Existing customers (Version 2.0). For customers who accepted an earlier version, Version 2.0 applies 30 days after we notify you of it by email or in the Platform dashboard; until then, the earlier version continues to apply. Version 2.0 changes the inclusions of the Managed Marketing tier (Sections 1, 6.4, 7.6, 9.2 and 9.5). For a Managed Marketing Subscription that started before the effective date, the inclusions in force when it started, including a dedicated Account Director and monthly executive performance reviews, continue unchanged until the end of your current commitment term, and the new inclusions apply only from your next renewal. If you do not accept them, you may end that Subscription at the end of the current commitment term without charge, or add Priority Support to keep a guaranteed meeting schedule. Nothing in Version 2.0 changes your inclusions retroactively.
15.6. Existing customers (Version 2.1). For customers who accepted an earlier version, Version 2.1 applies 30 days after we notify you of it by email or in the Platform dashboard; until then, the earlier version continues to apply. Version 2.1 sets out in more detail what the Coached and Managed Marketing tiers include and do not include (Section 6.4 and Schedule 1). Where Version 2.1 would remove or reduce something your current Subscription includes, including the support response targets in Section 9, the inclusions and response targets in force when your Subscription started continue until the end of your current commitment term. Nothing in Version 2.1 changes your inclusions retroactively.
16. Governing Law and Disputes
16.1. These Terms are governed by the laws of England and Wales.
16.2. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.3. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
17. General
17.1. Entire Agreement: These Terms, together with the Privacy Policy, DPA (where applicable), and any Subscription agreement, constitute the entire agreement between you and Mr Digital Ltd regarding the Platform.
17.2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3. Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
17.4. Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17.5. Force Majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
18. Third-Party Services
18.1. Some features of the Platform depend on Third-Party Services that we do not control. These include, for example: Stripe; Google (including Google Ads, Search Console, Business Profile, Calendar and Workspace); Meta; LinkedIn; Microsoft; Twilio; Resend; Channex and online travel agencies; Xero; AI model providers (including OpenAI, Anthropic and Google); Cloudflare; and our hosting providers. Their availability, APIs, terms, pricing, rate limits and permissions can change without notice.
18.2. We are not liable for any loss, unavailability, degraded function, delay or data issue caused by: (a) a Third-Party Service's outage, API change, deprecation or policy change; (b) a Third-Party Service revoking, limiting or changing access, tokens or permissions, including your own account permissions, an expired connection, or a restriction or suspension of your account by that provider; or (c) the settings of your own third-party accounts.
18.3. When a Third-Party Service affects the Platform, we will use reasonable efforts to restore the affected feature or provide a workaround within a reasonable time, and to tell affected customers where practical. No specific timescale applies unless Priority Support or a separately agreed service level says otherwise.
18.4. No refunds or service credits are due for issues caused by a Third-Party Service, except where mandatory law requires them.
18.5. We may change, replace or remove a feature that depends on a Third-Party Service if that service changes or is withdrawn. We will give reasonable notice where we can.
18.6. You are responsible for keeping your connections to Third-Party Services authorised, keeping your third-party accounts in good standing, and complying with those providers' terms.
19. AI-Generated Content
19.1. AI-generated content may be inaccurate, incomplete or unsuitable. You are responsible for reviewing and approving AI-generated content before you use or publish it; the Platform's approval workflow is designed for this (Section 3.4).
19.2. We are not liable for decisions made, or content used, on the basis of AI output that you have not reviewed and approved.
20. Agency Partners and White-label
20.1. An Agency Partner may use the Platform to serve its own clients and, where White-label is switched on, present it under its own brand (for example its logo, colours, product name, sign-in link, emails, reports and support contacts, with the “Powered by” line shown or hidden). White-label is a Beta feature.
20.2. The Agency Partner is responsible to its own clients for the service it provides them, including its own terms, pricing, support and the accuracy of what it tells them about the Platform. The Agency Partner Agreement at mdos.ai/partner-agreement also applies.
20.3. For personal data that an Agency Partner's clients hold in the Platform, we act as the Agency Partner's processor or, where the Agency Partner is itself a processor for its client, as its sub-processor, under our Data Processing Agreement. White-label does not hide our access notices: when our team accesses an account to support it, that account's administrators are notified as described in Section 9.6.

Schedule 1: Marketing services: Coached and Managed Marketing
Part A: Managed Marketing: what's included. Our team does the work for you:
- design and creative;
- paid ad campaigns on Meta, Google, YouTube and LinkedIn: set up in mDOS, pushed to the ad networks, then actively managed in those ad platforms;
- social media management;
- email marketing and automation campaigns, including SMS campaigns;
- cold email and LinkedIn outreach campaigns;
- website, sales funnel and landing page builds, and website updates;
- SEO;
- blog writing, including news posts on your own website;
- Google Business Profile optimisation.
Managed Marketing also includes the strategy, approvals, reporting and monthly video breakdown described in Section 6.4.
Part B: Coached: what's included. Coached covers the same channels as Part A, but your own team does the work. We provide a senior strategist, weekly one-to-one coaching, and coaching on the mDOS platform and the AI Workforce.
Part C: How the work is delivered. We deliver everything using the mDOS platform's own features, in your mDOS account, with two exceptions: paid ads are set up in mDOS and pushed to the ad networks, then actively managed in those ad platforms; and your Google Business Profile details are optimised in Google's own dashboard, while Google Business Profile posts and performance are handled in mDOS.
Part D: What's not included.
- Ad spend. You pay the ad networks directly, unless agreed otherwise in writing (Section 4.8).
- Text message (SMS) send costs. These are not included in any plan or Done-for-you Service. We recharge them at cost each month on your mDOS invoice, as billed by our SMS provider (Section 8.7).
- Contact data. You supply the contacts for email, SMS and outreach, and you choose and are responsible for the lawful basis for contacting them (Section 14.4).
- Replies, responses, follow-ups and lead handling for any email, SMS or outreach. Your team handles these.
- Review replies and review management. These stay with your business, so that they are authentic. mDOS drafts suggested replies for you to edit and approve. Review requests are a platform feature you switch on yourself; they go to every customer and are never filtered by expected rating.
- Digital PR. We are not a PR agency and we do not pitch to journalists. mDOS and its AI identify opportunities and suggest stories, and you decide whether and how to run PR. News posts on your own website are blog writing, which is included.
- Work in tools outside mDOS, other than the two exceptions in Part C.
- Anything not listed in Part A or Part B.
Part E: Approvals. You decide. Our team and the AI Workforce recommend and prepare the work; nothing is sent, published or launched without your approval, given with one click in your mDOS dashboard, or under Autopilot rules that you have switched on yourself. When you approve an ad campaign, you approve its budget, audience and limits, and that approval authorises us to optimise the campaign within those limits. New creative, a higher budget or a new audience needs your approval again. Autopilot applies only where you have switched it on, and you can switch it off at any time.
Part F: How we work towards results
Marketing and sales are never a certainty, and anyone who promises a fixed cost per lead or a guaranteed result isn't being straight with you. Results depend on many things: your market, your offer and prices, your budget, timing, and the decisions of ad networks, search engines and other platforms. Some of these sit outside anyone's control.
What we do promise is how we work:
- Realistic targets, agreed together. We set targets with you at the start, with milestones along the way. We only put forward targets we are confident are achievable in the time agreed, whether we're doing the work for you (Managed) or coaching your team (Coached).
- Measured all the way, not just at the end. Every target has measures we track throughout, so we can see early whether things are on track. We don't wait six months to find out if something worked.
- Open and honest. If something is ahead, behind or blocked, we'll tell you, explain why, and agree what to do next.
- Everything included, so we can change course. Because your plan includes every channel we cover, if one approach isn't working we can shift effort to another, such as ads, content, email, SEO or outreach, at no extra cost, to keep you moving towards your targets.
Some targets may be reached sooner than planned and some may take longer, and sometimes things come up that change the picture. Targets are what we plan and work towards together, not a guarantee of any particular result, such as rankings, reach, leads, bookings, sales, revenue, cost per lead or return on ad spend. We provide the services with reasonable skill and care, and we always work in good faith towards the targets we've agreed with you.
Part G: Definitions used in this Schedule.
- Ad spend: the money paid to Meta, Google (including YouTube) or LinkedIn to run your ads.
- Active ad management: checking and adjusting your live campaigns in the ad platforms, within the limits you have approved (Part E).
- Website updates: changes our team makes to your existing mDOS website. Small edits are covered by fair use; new pages and substantial updates count towards the monthly page allowance in Section 8.6.
- Website, funnel and landing page builds: new websites, sales funnels and landing pages built in mDOS. New pages count towards the allowance in Section 8.6, and a full new website or redesign is agreed and quoted separately.
- Google Business Profile optimisation: improving your business details in Google's own Business Profile dashboard.
- Outreach: cold email and LinkedIn campaigns to contacts you supply, on the lawful basis you choose (Sections 14.4 and 14.5).
- Coaching on the platform and the AI Workforce: showing your team how to use mDOS and the AI Workforce to do the work themselves.
- Approval: a one-click approval in your mDOS dashboard by someone on your team.
- Target: a result we agree with you, with milestones and measures we track throughout, as described in Part F.
Schedule 2: Service levels
1. Business days and hours. Our business hours are 9am to 5:30pm UK time, Monday to Friday, excluding weekends and UK bank holidays. A business day is a day on which those hours apply. Our team works across the UK and internationally, so please expect slower response times around national holidays. This does not affect the Priority Support weekend reply within 24 hours (Section 9.5).
2. Support replies. Our support team is online from the start of the UK working day until 1pm UK time. During that time we aim to reply within an hour. Messages that reach us after 1pm UK time are answered the next business morning. We will always reply within 1 business day.
3. Urgent Platform issues. If something stops your business working on the Platform, such as your website being down or payments failing, we prioritise it and start work as soon as we are aware of it, including outside business hours where we can. Enterprise Clients have the support and response times set out in their Enterprise agreement and service level agreement (Section 9.3). The Platform uptime target is set out in Section 7.
4. Starting work. On the Coached and Managed Marketing tiers, and for Done-for-you Services, we hold a kick-off call with you within 5 business days of your plan or service starting. On the Managed Marketing tier and for Done-for-you Services, we deliver your first deliverables within 10 business days of receiving everything we need from you, including access, brand assets, data and approvals.
5. Turnaround on website work. When our team makes website changes for you, we complete small edits within 2 business days and new pages within 5 business days. Larger projects follow a timeline we agree with you. Pages count towards the fair-use allowance in Section 8.6.
6. When the clock pauses. Time spent waiting on you, for example for an approval, access or information, does not count towards these service levels.
7. Priority Support. Priority Support (Section 9.5) adds faster support replies to any plan: from 9am India time until 5:30pm UK time, Monday to Friday, we reply within 2 hours, counting only time within that window; on Saturdays and Sundays, we reply within 24 hours. Urgent issues reach your named account director directly. It also adds a guaranteed meeting schedule, a direct telephone line and a named account director.
8. How these service levels work. These are service levels we work to, not guarantees. Missing a service level is not a breach of these Terms unless the failure is persistent. The exclusions in Section 7.5 apply to these service levels.
